Results of AGM and EGM

Wishbone Gold Plc (AIM: WSBN, AQSE: WSBN), today Friday, 28th November 2025 held its AGM and EGM and all resolutions were passed.

Further to the announcement of 7 November 2025 (the "Announcement") and the Circular to Shareholders of the same date, admission of the Company's New Ordinary Shares pursuant to the Capital Reorganisation ("Admission") is expected to take effect on 1 December 2025. All defined terms are as per the Announcement.

Capital Reorganisation

The Company's existing issued share capital of 3,022,586,500 Existing Ordinary Shares will be consolidated on the basis of 100 Existing Ordinary Shares into one Consolidated Share, and in turn, each Consolidated Share will be sub-divided into one New Ordinary Share of 0.1 pence and one Deferred Share of 9.9 pence.

The Capital Reorganisation will be undertaken on 28^th November 2025 at 6:00p.m. and application will be made for the New Ordinary Shares to be admitted to trading on AIM at 8:00a.m. on 1 December 2025.

Total Voting Rights

Following Admission, the Company's enlarged issued voting share capital will comprise 30,225,865 New Ordinary Shares. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, securities of the Company.
