Placing and Subscription to raise £137,000

Grant of Warrants

Change of Corporate Advisor

 

Tomahawk Metals Plc (AQSE: TMHK) announces that it has raised a total of £137,000 (before costs) through a placing and subscription of new ordinary shares of £0.01 each.

 

Results of Placing and Subscription

 

The Placing has raised gross proceeds of £37,000 through the placing of 3,700,000 Placing Shares to investors at a price of £0.01 per share (the "Placing"). The Subscription has raised gross proceeds of £100,000 through the issue of 10,000,000 Subscription Shares at £0.01 per share (the "Subscription").

The Placing and Subscription Shares will rank pari passu with the existing ordinary shares.

 

Grant of Warrants

 

Further to the announcement of 20 April 2026, the Company has agreed to grant one warrant for each ordinary share subscribed to by investors who participated in the Company's last round of funding, that raised £215,000.  In total 14,333,332 warrants will be issued to those investors who participated in the fundraising.  The warrants will vest immediately, be valid for a period of 1 year and be exercisable at 1 pence per share.

 

Admission

Application will be made for the 13,700,000 new Ordinary Shares to be admitted to trading on the Access segment of the Aquis Stock Exchange Growth Market, with dealings expected to commence at 8.00 a.m. on 29 September 2026. Following Admission, the total number of ordinary shares in issue and total voting rights will be 95,796,009. This figure may be used by shareholders as the denominator for calculations under the FCA's Disclosure Guidance and Transparency Rules.

 

Change of Aquis Corporate Adviser

 

In addition, the Company announces that First Sentinel Corporate Finance Limited ("First Sentinel") has been appointed as Aquis Corporate Adviser with immediate effect. In connection with this appointment, and for the purposes of transparency, the Company confirms that Dark Horse Family Office Limited, a company of which Brian Stockbridge (CEO of First Sentinel) owns 1/3 of the share capital and is its sole director, has subscribed for £75,000 under the Subscription.
