Completion of Acquisition of Dunbar Energy

Acquisition to establish a US data centre and energy development platform

Ethtry PLC (AQSE: ETHY) is pleased to announce that, further to its announcements of 12 August 2026 and 14 September 2026, the acquisitions of the entire issued share capital of Dunbar Energy Ltd and Dunbar Energy Inc (together, "Dunbar Energy") have now completed.  The terms of the acquisitions remain as set out in those previous announcements.

Completion enables the ordinary shares due to existing Ethtry shareholders (“Bonus Shares”) and the ordinary shares due to Dunbar Energy shareholders (“Consideration Shares”) to be issued.  A further announcement will be made when the Bonus Shares and Consideration Shares have been issued along with confirmation of when they will be admitted to trading on the Aquis Growth Market.

In addition, the adjustment to the existing Ethtry warrants and the issue of the consideration warrants to Dunbar Energy shareholders can now take place and a further announcement will be made once this has been undertaken.

As previously announced, Sonu Mirchandani and Zak Newton are proposed appointees to the Board, subject to completion of customary due diligence.  A further announcement will be made once their appointments are confirmed.
