Result of General Meeting

Cel AI Plc (LSE: CLAI), the AI agent deployment platform with a strategic digital asset treasury focus, announces it held its General Meeting ("GM") at the offices of Fladgate LLP, 16 Great Queen Street, London WC2B 5DG, at 2:00pm on 20 August 2025. All resolutions set out in the Company's Notice of General Meeting were duly passed.

The Company will now proceed with its previously announced intention to move to the Aquis Stock Exchange Growth Market ("Aquis"). Admission of the Company's Ordinary Shares to trading on Aquis (and the delisting from the London Stock Exchange Main Market for listed securities) are expected to occur on 1 September 2025 at 8:00 am and the Company will make a further announcement in due course.

The move to Aquis removes the current constraints of the Company's listing framework and enables the Cel to pursue fully its strategic goals to create lasting shareholder value.
