 Option Agreement to Cancel 2 Million Warrants

Valereum Plc (AQSE: VLRM) is pleased to announce that it has entered into an option cancellation agreement with a service provider to cancel 2,000,000 warrants exercisable at £0.005 over ordinary shares of £0.001 each in the Company ("Option Agreement" or "Option") ("Warrants").

The Company has paid £10,000 to acquire the Option which may be exercised by the Company in its sole and absolute discretion at any time within five months of the date of the Option Agreement being 26 September 2025 ("Option Period"), under which the Company may either (i) cancel the Warrants by paying the cancellation fee of £90,000 to the service provider, or (ii) if not exercised in the Option Period the Warrants shall, with the Company's consent, be assigned by the service provider to a new warrant holder with the consent of the Company.

Subject to the Option not having been exercised by the Company during the Option Period, the Warrants shall, with effect from the expiry of the Option Period, be automatically transferred, assigned and novated by the service provider to a new warrant holder who will be bound to the original terms of the Warrants.

The purchase of the Option by the Company is considered by the Directors to be in the best interests of the shareholders.
